MLM Software Services

1. DEFINITIONS / परिभाषाएं

Company: Refers to MLM Software Services, the technology provider.
Client: Any individual, business, or entity purchasing or using our software services.
Services: Software development, customization, blockchain integration, and technical maintenance.

2. SERVICE PARTNER STATUS / सेवा भागीदार की स्थिति

English: We act strictly as a "Service Partner" and "Technology Provider." We provide the software as a product package. We are NOT partners, shareholders, or participants in your business operations, investment plans, or profit-sharing models.

Hindi: हम पूरी तरह से "सेवा भागीदार" और "तकनीकी प्रदाता" के रूप में कार्य करते हैं। हम सॉफ्टवेयर को एक उत्पाद पैकेज के रूप में प्रदान करते हैं। हम आपके व्यवसाय संचालन, निवेश योजनाओं या लाभ-साझाकरण मॉडल में भागीदार या शेयरधारक नहीं हैं।

3. ADMINISTRATIVE CONTROL / प्रशासनिक नियंत्रण

The entire "System Admin" and "Owner Dashboard" access remains exclusively with the Client.
Fund Management: All funds, deposits, and payouts are managed solely by the Client. We do not have any access to client funds or bank accounts.
Authentication: All security protocols, including OTP services and Gmail IDs, must be provided and managed by the Client for their own security.

4. DATA SECURITY / डेटा सुरक्षा

English: While we follow industry-standard coding practices for security, the ultimate responsibility for server security, daily backups, and protection against unauthorized access lies with the Client. We are not liable for data loss due to server-side vulnerabilities or weak administrative passwords.

Hindi: हम सुरक्षा के लिए मानक कोडिंग प्रथाओं का पालन करते हैं, लेकिन सर्वर सुरक्षा और डेटा बैकअप की अंतिम जिम्मेदारी क्लाइंट की होती है।

5. ETHICAL USE & FRAUD RESPONSIBILITY / धोखाधड़ी की जिम्मेदारी

English: Any misuse of the software for illegal, fraudulent, or "scam" activities is strictly prohibited. If a client commits fraud, it is their sole legal responsibility. MLM Software Services will not be held liable for any financial disputes between the client and their end-users.

Hindi: यदि कोई क्लाइंट गलत या धोखाधड़ी (Fraud) करता है, तो वह पूरी तरह से क्लाइंट की जिम्मेदारी होगी। MLM Software Services किसी भी विवाद के लिए उत्तरदायी नहीं होगी।

6. INTELLECTUAL PROPERTY / बौद्धिक संपदा

All source code, proprietary logic, and development frameworks remain the property of MLM Software Services unless a specific "Full Ownership Transfer" agreement is signed and paid for. Reselling or redistributing our code without permission is a legal offense.

7. PAYMENT TERMS / भुगतान की शर्तें

Project development starts only after the initial advance payment.
No Refund Policy: Once the development phase begins or resources are allocated, no refunds will be processed.
Maintenance fees (AMC) apply after the initial free support period.

8. THIRD-PARTY SERVICES / तृतीय-पक्ष सेवाएं

We integrate external APIs (CoinPay4u, SMS Gateways, Payment Gateways) at the client's request. We are not responsible for the performance, downtime, or policy changes of these third-party providers.

9. LIMITATION OF LIABILITY / देयता की सीमा

In no event shall the Company be liable for any business losses, legal penalties, or server hacking incidents. The Client agrees to indemnify and hold harmless MLM Software Services from any claims arising out of the Client’s business operations.

10. GOVERNING LAW / शासी कानून

These terms are governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in Saharanpur, Uttar Pradesh.
